DISTRIBUTION NETWORK DISCLOSURE AND PLATFORM COMPLIANCE AGREEMENT

1. INTRODUCTION

This Distribution Network Disclosure and Platform Compliance Agreement ("Agreement") governs the distribution of content created at PulsePoint Media Atelier LLC ("Company," "we," "us," or "our") through various digital platforms via our PulsePoint Creators Network distribution service. By utilizing our distribution services, you ("Client," "you," or "your") acknowledge and agree to the terms outlined herein.

 

2. COVERED DIGITAL PLATFORMS

This Agreement applies to, but is not limited to, distribution across the following platforms:

 

2.1 Video Platforms:

- YouTube and YouTube Music

- Instagram (Feed, Stories, Reels, IGTV)

- Facebook (Posts, Stories, Reels, Watch)

- TikTok

- Twitter/X (Video posts)

- LinkedIn (Video content)

- Vimeo

- Twitch

- Rumble

- Dailymotion

- Pinterest (Video pins)

- Snapchat

- Discord

- Reddit (Video posts)

- Any other video hosting or social media platforms

 

2.2 Audio/Podcast Platforms:

- Spotify

- Apple Podcasts

- Amazon Music/Audible

- Google Podcasts

- Player FM

- Stitcher

- iHeartRadio

- Pandora

- TuneIn

- Pocket Casts

- Overcast

- Castro

- Podcast Addict

- Castbox

- RadioPublic

- Podbean

- Anchor

- SoundCloud

- Deezer

- Any other podcast hosting or audio streaming platforms

 

3. PLATFORM POLICY COMPLIANCE RESPONSIBILITY

3.1 Client Acknowledgment

You acknowledge and understand that each digital platform maintains its own:

- Community guidelines and terms of service

- Content policies and restrictions

- Monetization requirements and policies

- Copyright and intellectual property rules

- Privacy and data protection standards

- Age restrictions and content ratings

- Regional availability and compliance requirements

 

3.2 Client Responsibility

You are solely responsible for:

- Reviewing and understanding all platform policies before content distribution

- Ensuring your content complies with each platform's current guidelines

- Maintaining compliance with platform policy updates and changes

- Obtaining all necessary rights, licenses, and permissions for your content

- Ensuring content is appropriate for intended audiences and age ratings

 

4. PLATFORM POLICY CHANGES AND UPDATES

4.1 Dynamic Nature of Policies

You acknowledge that digital platform policies are subject to frequent changes, updates, and modifications without notice. These changes may affect:

- Content eligibility and distribution

- Monetization capabilities

- Content visibility and reach

- Account standing and privileges

 

4.2 Monitoring Responsibility

You are responsible for staying informed about policy changes on all platforms where your content is distributed.

 

5. DISCLAIMER OF RESPONSIBILITY

5.1 Limited Liability

PulsePoint Media Atelier LLC, its employees, contractors, and owners are NOT responsible for:

- Content removal, takedown, or deletion by any platform

- Account suspension, termination, or penalties imposed by platforms

- Demonetization or loss of revenue due to platform policy violations

- Content not being distributed, published, or made available on any platform

- Reduced visibility, reach, or engagement due to platform algorithm changes

- Geographic restrictions or regional unavailability of content

- Technical issues or platform outages affecting distribution

- Changes in platform monetization policies or revenue sharing

 

5.2 Distribution Service Scope

Our distribution service is limited to:

- Technical submission of content to designated platforms

- Basic metadata and description formatting

- Initial upload and publication processes

 

6. CONTENT VIOLATIONS AND CONSEQUENCES

6.1 Platform Actions

If your content violates platform policies, platforms may:

- Remove or restrict access to content

- Issue warnings or strikes against your account

- Suspend or terminate your account

- Impose monetary penalties or demonetization

- Restrict future uploads or account features

- Report violations to legal authorities when applicable

 

6.2 No Intervention Capability

PulsePoint Media Atelier LLC cannot:

- Appeal platform decisions on your behalf

- Restore removed or restricted content

- Reinstate suspended or terminated accounts

- Influence platform policy enforcement

- Guarantee content approval or acceptance

 

7. INDEMNIFICATION

You agree to indemnify and hold harmless PulsePoint Media Atelier LLC, its employees, contractors, and owners from any and all claims, damages, losses, costs, and expenses (including reasonable attorney fees) arising from:

- Your content violating any platform policies

- Copyright infringement or intellectual property disputes

- Legal action taken by platforms or third parties

- Loss of revenue or business opportunities due to platform actions

- Any breach of this Agreement or platform terms of service

 

8. CONTENT OWNERSHIP AND RIGHTS

8.1 Client Ownership

You retain full ownership of your original content and are responsible for:

- Ensuring you have the right to distribute the content

- Obtaining necessary permissions for music, images, or third-party materials

- Compliance with copyright and fair use laws

- Managing any licensing or royalty obligations

 

8.2 Platform Rights

By distributing content through platforms, you grant each platform the rights specified in their respective terms of service, which may include broad usage and distribution rights.

 

9. NO GUARANTEES OR WARRANTIES

We make no guarantees, warranties, or representations regarding:

- Successful distribution to any platform

- Content acceptance or approval by platforms

- Audience reach, engagement, or performance

- Revenue generation or monetization success

- Platform algorithm favorability or promotion

- Long-term availability of content on platforms

 

10. PLATFORM-SPECIFIC CONSIDERATIONS

10.1 YouTube Policies

You specifically acknowledge awareness of YouTube's policies including but not limited to:

- Community Guidelines

- Monetization policies and YouTube Partner Program requirements

- Copyright and Content ID system

- Age-restriction and family-friendly content guidelines

- Spam, deceptive practices, and scam policies

 

10.2 Social Media Platforms

For social media platforms (Instagram, Facebook, TikTok, etc.), you acknowledge:

- Content may be subject to additional community standards

- Algorithm changes can significantly impact content visibility

- Platform features and capabilities change frequently

- Cross-platform policy variations may exist

 

10.3 Podcast Platforms

For audio/podcast platforms, you acknowledge:

- Content must comply with platform-specific content policies

- Some platforms have explicit content restrictions

- Monetization requirements vary significantly between platforms

- Distribution timing and availability may vary

 

11. TERMINATION OF DISTRIBUTION SERVICES

We reserve the right to discontinue distribution services for any client whose content repeatedly violates platform policies or puts our distribution partnerships at risk.

 

12. UPDATES TO THIS AGREEMENT

This Agreement may be updated to reflect changes in platform policies or our services. Continued use of our distribution services constitutes acceptance of any updates.

 

13. GOVERNING LAW

This Agreement is governed by the laws of the State of Connecticut. Any disputes will be resolved in the courts of Fairfield County, Connecticut.
